    These Terms of Service ("Terms") govern your access to and use of PayOrc's payment orchestration platform, websites, APIs, and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

    1. Definitions

    "PayOrc" refers to Vallwork Tech FZCO, incorporated in the UAE. "Service" refers to the payment orchestration platform, websites, APIs, App, Portal, and Checkout Page provided by PayOrc. "User" or "you" refers to any individual or entity accessing or using the Service.

    2. Eligibility

    The Service is available to businesses and individuals who are at least 18 years old and capable of forming a binding contract. By using the Service, you represent that you meet these requirements and have the authority to bind your organization to these Terms.

    3. Account Registration

    • You must provide accurate, complete, and current information during registration.
    • You are responsible for maintaining the confidentiality of your account credentials.
    • You must notify us immediately of any unauthorized use of your account.
    • We reserve the right to suspend or terminate accounts that violate these Terms.

    4. The Service

    PayOrc provides a payment orchestration platform that enables:

    • Multi-PSP payment routing and failover.
    • Transaction processing across multiple payment methods (cards, UPI, wallets, net banking, QR).
    • Smart routing optimization for higher authorization rates.
    • Payment analytics, reconciliation, and reporting.
    • Payment links, QR payments, invoicing, and subscription management.

    We may modify, update, or discontinue features at our discretion with reasonable notice.

    5. Fees and Payment

    • Fee structures are outlined in your subscription plan and may be updated with 30 days' notice.
    • Transaction fees are charged per successful transaction as per your plan.
    • Monthly subscription fees are billed in advance.
    • All fees are non-refundable unless otherwise stated in our Refund Policy.
    • We reserve the right to charge late fees on overdue amounts at 1.5% per month.

    6. Acceptable Use

    You agree NOT to:

    • Use the Service for illegal purposes or in violation of any applicable laws or regulations of the UAE.
    • Process transactions for prohibited goods or services.
    • Circumvent security measures, rate limits, or access controls.
    • Reverse engineer, decompile, or attempt to extract our source code or algorithms.
    • Resell or redistribute the Service without written authorization.
    • Transmit malicious code, viruses, or harmful data through the platform.

    7. Intellectual Property

    All intellectual property rights in the Service, including software, algorithms, designs, trademarks, and documentation, are owned by or licensed to PayOrc. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with your subscription plan.

    8. Data and Privacy

    • You retain ownership of your business and transaction data.
    • You grant PayOrc a limited license to process your data as necessary to provide the Service.
    • Our collection and use of personal data is governed by our Privacy Policy.
    • We comply with PCI DSS Level 1 requirements for handling cardholder data.

    9. Service Level

    • We target 99.99% uptime for the payment processing API.
    • Scheduled maintenance windows are communicated at least 48 hours in advance.
    • Enterprise customers may have custom SLA terms as per their agreement.
    • We are not liable for downtime caused by third-party PSP outages.

    10. Limitation of Liability

    • PayOrc's total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
    • We are not liable for indirect, incidental, consequential, or punitive damages.
    • We are not liable for losses caused by third-party PSPs, banking partners, or payment networks.
    • These limitations apply to the fullest extent permitted by applicable law.

    11. Indemnification

    You agree to indemnify and hold PayOrc harmless from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

    12. Termination

    • Either party may terminate with 30 days' written notice.
    • We may suspend or terminate immediately for material breach, fraud, or illegal activity.
    • Upon termination, your right to use the Service ceases immediately.
    • We will provide a data export for 30 days following termination.

    13. Governing Law and Jurisdiction

    These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Any dispute shall first be attempted to be resolved through amicable negotiation. If not resolved within 30 days, the dispute shall be referred to the courts of Dubai.

    14. Changes to These Terms

    We may update these Terms periodically. Material changes will be communicated at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
